又称场外交易或柜台交易，是外汇和债市的首要交易方式。以交易双方的信用为基础执行，双方就所交易的产品执行私下一对一磋商并促成交易意愿，建立双边授信关系执行交易，清算也由双方自行安排执行，所有风险由交易双方自行承受。
